- News: This WARNING is issued by the Eastern Caribbean Securities Regulatory Commission (“the Commission/ECSRC”) pursuant to Article 5(q) of the Eastern Caribbean Securities Regulatory Commission Agreement 2020 and the Commission’s mandate to protect investors under the Securities Act 2001 of the laws of the member countries of the Eastern Caribbean Currency Union (ECCU).

- News: At its 75th Meeting held on 26 November 2019, the Commission unanimously agreed to adopt administrative procedures for the notification of changes in material information contained in approved prospectuses. Material information, as defined in the revised Securities (Accounting and Financial Reports) Rules that were reissued to the market in June 2019, is “information relating to the business, operations or securities of an issuer that would reasonably be expected to significantly affect the value or market price of the issuer or a security of the issuer.”

The Eastern Caribbean Securities Regulatory Commission (ECSRC) hereby advises the public that Cantwell International LLC is not licensed by or registered with the ECSRC to offer investment services or products, or to hold itself out as carrying on business dealing in securities in Anguilla, Antigua and Barbuda, Commonwealth of Dominica, Grenada, Montserrat, Saint Lucia, St Kitts-Nevis, and St Vincent and the Grenadines. Consequently, such activities in which this firm may be engaged are not regulated by the ECSRC.
CIBC Acquires Majority Stake In FirstCaribbean International Bank

FirstCaribbean International Bank Limited has today announced that CIBC has purchased 599,401,230 shares of FirstCaribbean under the previously announced plans to acquire Barclays Bank’s 43.7 per cent ownership in the regional financial institution.
CIBC paid US$988,652,389 in cash. The purchase price paid to Barclays represents US$1.62 for each FirstCaribbean share, plus accrued but unpaid dividends.
